Eligibility for Services

You acknowledge and warrant that:

1. You have not previously been suspended or prohibited from using or accessing the SDS system at any time.

2. You are not a competitor of SDS, and you do not offer any product that competes with the services provided by SDS.

3. You have the full legal power and authority to enter into this agreement and doing so does not violate any applicable law or contract.

Commitments and Warranties

You acknowledge and agree that you shall:

1. Comply with all applicable laws and regulations in the Kingdom of Saudi Arabia.

2. Provide accurate and truthful information to SDS and update it periodically.

3. Review and comply with any notifications sent by SDS or mentioned on SDS platforms regarding your use of the services.

4. Not sublicense, issue, publish, transfer, distribute, perform, display, sell, or commercially exploit SDS services except as permitted by this agreement.

5. Use the service only for lawful purposes and not to send or store any unlawful or fraudulent material.

6. Not use the service to harm, harass, or inconvenience anyone.

7. Not disrupt the proper operation of the SDS system.

8. Not attempt to damage the service in any way.

9. Not copy or distribute the system, services, or other content without written permission from SDS.

10. Keep your account password or any access credentials provided to you secure and confidential.

11. Provide all necessary documentation to verify your identity as requested by SDS.

12. SDS reserves the right to refuse service or deny access to the system without providing reasons.

Subscription Duration and Access Validity

1. Your access to the SDS system is linked to your subscription period.

2. The subscription automatically renews for a similar period unless you notify us through customer support channels or by accessing your subscription settings and selecting “Cancel Subscription,” ensuring that your card details are deleted at least 5 business days before the subscription expires.

3. SDS reserves the right to restrict your access to the system and stored data immediately upon subscription expiration if you choose not to renew.

Fees and Payment Terms

1. Subscription to the SDS system is available according to the fees listed on the pricing page.

2. You acknowledge that your access to the SDS services depends on the payment of subscription fees through available payment options, including electronic payment or bank transfers.

3. If you choose electronic payment, you are responsible for the accuracy of your card information and agree to automatic renewal fee deductions. If you do not wish to renew automatically, you must delete your card information from the SDS system.

4. SDS reserves the right to modify subscription fees from time to time, and such modifications become effective from their announcement date. Continued access to the system constitutes acceptance of the new fees.

5. Subscription fees for the SDS system do not include the fees for any additional SDS services.

Refund Policy

Users may submit a refund request (“Refund Request”) under the following conditions:

1. The request must be submitted within:

• Annual Subscriptions: within 30 days of activation.
• Monthly Subscriptions: within 7 days of activation.

1. A refund request may be submitted at any time if a technical issue completely prevents access to the service for more than 24 hours after notifying technical support.

2. The right to request a refund is forfeited if the user has already used any of the following services:

• SDS Collection Service
• Bookkeeping Service

Steps to Submit a Refund Request

1. Verify your eligibility according to the refund policy conditions.

2. Submit the request through customer support or by accessing subscription settings and selecting “Cancel Subscription.”

3. Refund requests are processed within 3–5 business days, resulting in one of the following outcomes:

• Request Rejected: If the conditions are not met, the customer support team will notify you with the reasons.
• Request Approved: If the conditions are met, the refund will be processed within 7–14 business days.

License Scope

SDS grants you a non-exclusive, non-transferable, non-sublicensable, and non-revocable license to access and use the services solely for personal purposes in accordance with this agreement. Therefore, you must not:

1. Make the SDS system or services available to third parties, rent, lease, assign, resell, or sublicense them.

2. Modify, decompile, translate, or reverse-engineer the SDS system, its structure, or its underlying source code.

3. Remove or alter any copyright or legal notices in the system or services.

4. Distribute or transfer the system or services beyond what is expressly permitted.

5. Claim to grant the service or allow access to anyone else.

6. Share your username or password or any login credentials with others.

Intellectual Property Rights

All intellectual property rights of the SDS system, its services, and all related materials (including any content you provide or upload) belong exclusively to SDS. You may not reproduce or allow others to reproduce or use any trademarks or trade names appearing in the system.

Indemnification

By agreeing to this agreement and using the service, you agree to defend, indemnify, and hold harmless SDS, its affiliates, licensors, officers, directors, employees, attorneys, agents, and representatives from any claims, costs, damages, liabilities, or expenses (including legal fees) arising from:

1. Your violation of any term of this agreement or applicable law.

2. Your infringement of any third-party rights, including service providers contracted with SDS.

3. Your misuse of the service.

Legal Liability

1. The information, recommendations, and services provided through the website or service are for general informational purposes only and do not constitute advice. SDS will make every effort to ensure the accuracy and timeliness of the system and its content but does not guarantee that it is error-free, virus-free, or complete.

2. SDS shall not be liable for any damages arising from the use (or inability to use) the website or service unless caused by gross negligence or willful misconduct by SDS.

3. SDS shall not be liable for any damages arising from the use of electronic communications, including email delivery delays, interception, tampering, or transmission of viruses.

4. SDS strives to provide its online services 24/7 but does not guarantee uninterrupted availability due to maintenance, updates, or new feature additions.

Service Modifications

SDS reserves the right, at its sole discretion, to:

1. Update or modify the service or related materials or discontinue publishing them at any time.

2. Modify, change, suspend, or terminate the service (including any feature or content) by posting a notice on the website or via email. SDS may also restrict access to certain features or portions of the service without prior notice.

Limitation of Liability

SDS provides its system and services “as is” without any express or implied warranties. SDS disclaims all warranties to the fullest extent permitted by law, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
SDS shall not be liable for any direct, indirect, incidental, or consequential damages resulting from the use or inability to use the services.

By agreeing to these terms, you acknowledge that SDS’s data retention period is six months for trial subscriptions and two years for paid subscriptions, after which SDS has the right to permanently delete such data.

Security

You are solely responsible for maintaining the confidentiality of your account and for all activities under your credentials. You agree to notify SDS immediately if you become aware of any loss, theft, or unauthorized use of your account information or credentials.

Third-Party Interactions

While using the website or service, you may encounter links to third-party websites offering products, services, or promotions.
These links take you outside the SDS website and are beyond SDS’s control. Such websites have their own terms and privacy policies, and SDS bears no responsibility for their content or activities. You access them at your own risk.

Termination of Agreement

1. This agreement ends upon the expiration of your subscription to the SDS system if you choose not to renew.

2. You may terminate the agreement by canceling your subscription and notifying customer support or through subscription settings.

3. SDS may terminate the agreement immediately by disabling your account in cases including but not limited to:

• Violation of any term of this agreement.
• Misuse of the system.
• Any other reason deemed appropriate by SDS at its sole discretion.

Severability

1. If any provision of these terms is deemed invalid or unenforceable, it shall not affect the validity of the remaining provisions.

2. If any clause is found to be unreasonable or void under applicable law, it shall be replaced with a valid clause that most closely reflects the intent of the invalid one.

Amendment of Terms and Conditions

These terms and conditions may be updated or modified from time to time and shall take effect immediately without prior notice. Continued use of the service constitutes acceptance of the updated terms.

Notices

SDS may send notices through a general announcement on the service, an email to your registered address, or by postal mail to your address registered in your account information.

Dispute Resolution and Governing Law

1. This agreement shall be governed by and construed in accordance with the laws and regulations of the Kingdom of Saudi Arabia.

2. In case of any dispute regarding the interpretation or execution of this agreement, the matter shall first be resolved amicably. If no resolution is reached, the dispute shall be referred to the competent court within the Kingdom of Saudi Arabia.
